Confirmation Statement
Company information can change during the year as directors, shareholders, ownership structures, business activities or registered addresses are updated. Where these changes are not properly recorded, the information shown on the Companies House register may become inaccurate.

Why the confirmation statement matters
Every company, including dormant and non-trading companies, is required to file a confirmation statement at least once every year. It must still be filed where no changes have taken place. Failure to file can result in financial penalties and may place the company at risk of being struck off the register.
Confirmation statement support may include:
- Reviewing the company’s registered details
- Checking directors and company officers
- Reviewing people with significant control
- Checking shareholders and shareholdings
- Reviewing share capital information
- Confirming the registered office and email address
- Checking the company’s principal business activities and SIC codes
- Identifying information that must be updated separately
- Confirming the company’s intended activities are lawful
- Preparing and filing the confirmation statement
Keeping the register accurate
A detailed review before submission helps ensure that the public register accurately reflects the company’s current position and that important changes are not overlooked.
